Q: |
Am I being sued? |
A: |
The persons being sued (called Defendants) are Tellabs and certain individual defendants, who were allegedly controlling officers and/or directors of Tellabs. If you are not one of these officers or directors, then you are not being sued and this is not a lawsuit against you. You have been identified as a potential class member in a class action lawsuit. |

Q: |
What is this litigation about? |
A: |
This certified securities class action alleges that Tellabs and certain individual defendants, who were allegedly controlling officers and/or directors of Tellabs, made materially false and misleading statements and omissions in Tellabs’ public reports and documents disseminated to the investing public, thereby artificially inflating the price of the Tellabs common stock and damaging members of the Class.
Defendants have denied Plaintiffs’ claims and asserted several defenses, and contend that they are not liable to Plaintiffs. |

Q: |
How do I know if I am a Class Member? |
A: |
You are a class member if you purchased the common stock of Tellabs, Inc. during the period from December 11, 2000 through June 19, 2001, inclusive.
Excluded from the Class are Defendants; the subsidiaries and affiliates of Tellabs; the officers and directors of Tellabs or its subsidiaries and affiliates, at all relevant times; members of the immediate family of any excluded person; the legal representatives, heirs, successors, and assigns of any excluded person; and any entity in which any excluded person has or had a controlling interest. |

Q: |
Will I receive a monetary award as a Class Member?
A: |
If the Settlement is approved and if you submit an acceptable Proof of Claim showing that you have a “Recognized Claim” as defined in the proposed Plan of Allocation (shown in the Settlement Notice at pages 10 - 12) you may receive a payment. Note that under the proposed Plan of Allocation, no distributions will be made to Authorized Claimants whose payment would be less than $10.00. |

Q: |
Do I have an attorney in this case? |
A: |
Members of the Class are represented by Lead Counsel for the Class.
Over the eight years that this litigation has been pending, Plaintiffs’ Counsel have invested over $14.7 million worth of their billable time in the prosecution of this Action, and have incurred approximately $1,450,000 in litigation expenses. Plaintiffs’ Lead Counsel are moving the Court to award them $2,950,000, which is 40% of the recovery, for both their attorneys’ fees and litigation expenses incurred. Counsel for plaintiffs in other actions of this size are frequently awarded as much as one third of the settlement amount just for fees, plus their litigation expenses. Because Plaintiffs’ Counsel’s expenses are estimated at $1.45 million the requested award would provide Plaintiffs’ Counsel with attorneys’ fees of approximately $1.5 million or about twenty percent (20%) of the Gross Settlement Fund. The requested attorneys’ fees represent far less than the amount Plaintiffs’ Counsel’s billable hourly fees, had the case not been pursued on a contingent-fee basis. |
